Legal - Wills, Trusts, Sudden Change of Ownership, Presented by: Thad Miller and Brad Cohen, Esq.

Discuss the need to update or create critical legal documents to prepare and protect the practice assets and value in the event of an unforeseen death or disability to the owner. Review why it's important to have legal representation in a transition and the roles an attorney plays in the process and how to handle real estate or landlord discussions during a transition. 

Insurance Review - Fee Evaluation & Dental Membership Plan Evaluation, Presented by: Thad Miller, Shelley DeGroff and Katie Franklin

Comprehensive and customized consultation to review the current dental insurance plans in place in your practice. Isolate new plans to consider or plans to discontinue to achieve your ideal payer mix. Discuss the benefits of incorporation of membership plans in the practice.

Instructors

Brad Cohen, Esq.

Brad Cohen, Esq., has been a partner attorney at Cohen, Garelick & Glazier Law Firm since 1994.

Since receiving his JD cum laude from Boston University School of Law in 1991, Brad has concentrated his practice in the areas of business planning and transactions and estate planning.

Brad’s business practice includes assisting clients with business sales/acquisitions, drafting or reviewing contracts, employment agreements and restrictive covenants, business startups and corporation/LLC formation, and advising clients on business succession planning, with a focus on assisting closely-held business owners and healthcare professionals with legal needs.

Estate planning services which Brad provides include drafting Wills, trust agreements, powers of attorney and other estate planning documents, estate and gift tax planning, and probate and trust administration.

David Durm, Esq.

David Durm is a Partner at Barnes & Thornburg in Indianapolis, IN. He brings nearly two decades of private practice and in-house experience with many real estate-related transactions, including acquisitions, dispositions, development, financing, leasing, joint ventures, etc.; corporate governance; and compliance rules and regulations.  For nearly seven years, he focused on health care real estate development for a large public REIT, developing and acquiring health care projects throughout the country. He also specializes in mergers and acquisitions/dispositions of medical and dental practices, often involving real estate.

Kam McQuay, CPA

Kam McQuay, CPA/ABV, CVA, is a Director of Blue & Co., LLC’s Valuation and Healthcare Strategy Group and the Healthcare Physician practice.

Kam has more than 25 years of experience in consulting in the healthcare arena. For the past 20 years, he has worked exclusively with hospitals, physicians and their practices. Kam has consulted on all aspects of healthcare management including revenue enhancement, coding and billing compliance, analysis of practice procedures, start-up of new practices, accounts receivable management, managed care contracting and healthcare networks as well as providing general financial and tax support.

As a certified valuator, Kam performs business valuations on all types of businesses mainly focusing on professional service entities, as well as conducts fair market value assessments on joint venture transactions and related compensation agreements.

Kam also is a frequent speaker on healthcare topics to state and national groups.

Katie Franklin

Katie Franklin is the program director of Smile Advantage, a nation-wide company working with hundreds of dental practices. Smile Advantage is an industry leader in developing custom, in-office membership programs.

Katie began her dental career as an office manager in a St. Louis, MO dental practice.  As dental insurance regulations were on the rise and reimbursements were drastically decreasing, her practice recognized the need to position themselves in a way to remain successful amidst all the changes. Katie and the team developed an in-office membership program to retain and open their doors to patients who didn’t have insurance or were frustrated with their dental insurance, but yet still need quality care.

Scott Walloch, CPA

Scott Walloch, CPA, CFP is a financial planning consultant at Avantax Planning PartnersSM in Indianapolis, IN. In collaboration with a client’s CPA, Scott provides integrated planning and investment strategies for growing and protecting clients’ wealth. He designs personalized wealth management solutions by integrating estate planning, risk management and retirement planning based on each client’s unique objectives and priorities.

Steven Jensen

Steven Jensen confidently helps people and teams to achieve their potential. He has 10+ years of experience as an educator, a love and passion for the dental industry, and is well versed in sound principles of business growth. He has presented to audiences large and small and brings high energy and actionable insight into his workshops. As Vice President of Business Development at Dental Intelligence, Steve brings data-backed solutions to the table that are employed by over 10,000 practices nationwide. Steve is married to Abby, the world’s BEST hygienist. Together they have 2 boys and currently live in Utah.

Thad Miller

Thad Miller is a dental industry leader with twenty years’ experience. His circles of influence span across the United States and include practicing dentists, dental schools, manufacturers, suppliers and beyond.

Over the years he saw firsthand the difficulty dentists had when it came time to buy and sell a practice or find a partner for the practice. He wondered…”Could there be a better way? What if the process could be professional, streamlined and efficient? Utilizing technology, yet never losing the human touch?” These questions led him to found DDSmatch in 2009.

Miller brings to DDSmatch vast expertise in management, serving as Operations Manager for a national dental financial advisory firm. Responsible for marketing, partnerships and assisting dentists with practice transitions, he gained an intimate knowledge of the specific financial considerations dentists must take into account. Prior to that, Miller served as General Manager for Patterson Dental Indianapolis Branch, where he was responsible for $30 million in revenue, operations, budgeting and marketing the dental distribution business to more than 2,000 clients.

He is Vice President and active Board Member of the Dental Lifeline Network and is on the Board of Directors of the Indiana Golf Foundation/The First Tee of Central Indiana, a Board Member of the Brebeuf Jesuit Preparatory School Dad’s Club and a member of the Board of Advisors of the Indiana University Student Foundation. He is a 1994 graduate of Indiana University. He lives in Carmel, Indiana with his wife Paige and three sons, Jack, Parker and Charlie.
